Terms & Conditions

1. Introduction
  1. These Terms and Conditions (“T&C”)govern your (“User”, “you”, “your”) access to and use of the free-to-play,skill-based game(s) described in Clause 6 (“Game(s)”) offered by Indibid Private Limited (“Provider”, “we”, “us”, “our”) via www.indibid.in and the INDIBID mobile application (together, the “Platform”). The Platform is offered to consumers located in Great Britain (England, Wales and Scotland). We do not presently make the Platform available in Northern Ireland, the Channel Islands or the Isle of Man.

    Regulatory positioning: The Platform is free to play and operates under the skill-based/prize promotion framework. It is not intended to provide facilities for gambling within the meaning of the Gambling Act 2005 (GB). We do not hold a gambling operating license. We conduct our promotions and communications in line with the CAP Code (ASA) and applicable UK consumer laws.
2. Legal Effect
  1. Your use of the Platform constitutes acceptance of these T&C and creates a binding agreement under the laws of England and Wales. Nothing in these T&C affects your statutory rights under UK consumer law, including the Consumer Rights Act 2015 and Consumer Protection from Unfair Trading Regulations 2008. Electronic acceptance via the Platform is sufficient to form a contract; no physical signature is required.
3. Eligibility Of User
  1. 3.1. 1To use the Game(s), you must:
  • (a) Be a natural person acting in a personal capacity
  • (b) Be resident in and accessing from Great Britain (England, Wales or Scotland)
  • (c) Not access from Northern Ireland, the Channel Islands or the Isle of Man (these regions have separate regimes and thePlatform is currently unavailable there)
  • (d) Be 18years or over on the date you first use the Game(s)
  • (e) Have legal capacity to enter contracts under the law of your GB nation of residence
  1. 3.2. You agree to provide evidence we reasonably request (e.g., age and location checks) to confirm eligibility and to prevent misuse/fraud.
4. User Account And Information
  1. 4.1. An account (“User Account”) is required to use the Game(s).
  1. 4.2. To create a User Account, you must provide:
  • (a) A declaration that you satisfy the eligibility criteria in Clause 3.1.
  1. 4.3. Optional (at your choice):
  • (a) Name
  • (b) Mobile number (used only for personalization)
  • (c) Email Address
  • (d) Gender
  • (e) Full address and GB nation
  • (f) Date of birth
  • (g) A profile picture
  • (h) Other optional information requested on the Platform.
  1. 4.4. You may only create one User Account.
  2. 4.5. Payments: As the UK launch is free-to-play, no deposits are required to access the Game(s). If later features include purchases (e.g., cosmetic items), such payments will be processed in GBP via approved processors under UK consumer and payments law; no gambling-related deposits are taken.
  3. 4.6. KYC/verification: We may conduct proportionate age and identity checks to enforce GB geo location and age gating (18+), and to safeguard promotions and user safety.. Any ID checks are carried out in accordance with UK GDPR/Data Protection Act 2018 and for legitimate interests (fraud prevention, age gating).
  4. 4.7. You must provide further information reasonably requested to maintain a safe,compliant environment.
  5. 4.8. You must not submit false or misleading information, make false declarations or impersonate others.
  6. 4.9. You agree to provide evidence we reasonably request to verify the accuracy of your information.
  7. 4.10. Keep your details up to date.
  8. 4.11. You’re responsible for safeguarding credentials and for all activity on your account.Tell us promptly if you suspect unauthorised use.
  9. 4.12. You acknowledge you have no proprietary right in your User Account; allrights in and to accounts remain with the Provider.
  10. 4.13. You may close your User Account using the in-app “delete account” function.
  11. 4.14. On closure, we will delete or minimise personal data, retaining only what is necessary to comply with law, defend legal claims, or meet regulatory requests, in line with UK GDPR data-minimisation and storage-limitation principles.
5. Indibid Credits
  1. 5.1. The Game(s) are free to play in the UK launch. No entry fee is required to play and there is no pay-to-play format enabled in GB at this time.
  2. 5.2. If“Indibid Credits” appear in future GB features, they will function only as non-monetary, non-redeemable, in-app tokens (e.g., progress/energy/cosmetic unlocks). They will not be a stake, deposit, cash balance or e-money and will have no cash value or withdrawal right.
  3. 5.3. Users will not purchase Indibid Credits for GB free-to-play access at launch.If we later enable optional, non-gambling purchases (e.g., cosmetic bundles),we will disclose price (GBP), VAT status, and consumer rights in line with the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013.
  4. 5.4. Credits(if used) are not legal tender, not transferable/sellable and cannot be traded on or off the Platform.
  5. 5.5. If any technical error allocates credits improperly, we may reverse or cancel them, and (if you paid for a future optional cosmetic purchase) process a proportionate GBP refund where legally required and appropriate.
  6. 5.6. No cash-out: Credits can’t be converted to money or items of monetary value.
6. game(s)
  1. 6.1. The Platform currently offers Indibid Runner (“Game(s)”). 6.2 Indibid Runner:

  • (a) A touch-based, skill-dependent infinite runner where players control a character on an endless course
  • (b) The course includes obstacles and gaps navigated via swipe controls (up = jump; left/right = shift/turn)
  • (c) The course includes collectible items (e.g., boosts/power-ups) that can be collected
  • (d) The running speed increases overtime, increasing difficulty
  • (e) Scoring is skill-based:
  • (i) Distance travelled
  • (ii) Collectibles gathered
  • (iii) Streak/move combinations (e.g.,perfect jumps/slides/dodges)
  • (iv) Achievements/milestones
  • (f) Objective: achieve the highest score within the set time frame
  • (g) In the ‘pay to play’ format of the Game, the Users compete against each other by joining a competition pool by using their Indibid Credits:
  • (i)  We may publish leaderboards, badges,cosmetic rewards or other non-monetary recognition
  • (ii) The Users join a given competition by depositing the entry fee till the time it is open. The competition becomes operational only if the prescribed minimum number of Users join the competition.
  • (iii) If we later add prize promotions,they will be structured as free prize draws or skill competitions compliant with the Gambling Act 2005 requirements for skill/free draws and the CAP Code (e.g., fair conduct, independent judging where needed,clear significant conditions, closing dates).
  • (h) The free-to-play mode will remain available with no purchase necessary.
  1. 6.3. Additional rules (if any) will be shown before you play and will bind you alongside these T&C.
  2. 6.4. If play is interrupted for reasons outside the Platform (e.g., your device or connection), the round is still counted and scores stand as recorded.
  3. 6.5. If play is interrupted due to a Platform technical fault, the round is voidand you may replay without charge.
  4. 6.6. We may extend, cancel, change, suspend or modify any competition or feature (e.g.,server maintenance or security).
  5. 6.7. If any competition is cancelled, no financial loss arises (there are no paid entries in GB). If we have announced a non-monetary reward, we may re-schedule or apply a fair substitute.
7. Prize
  1. Important: For the GB free-to-play launch, no monetary prizes are offered. Where we offer any non-monetary recognition (e.g., badges/cosmetics), Clauses7.2–7.15 apply mutatis mutandis. If future GB prize promotions are introduced,they will follow free skill/prize promotion rules (not gambling),CAP/ASA requirements, and clear “no purchase necessary” entry.
  2. 7.1. If a User wins any announced non-monetary reward, we will provide the stated item/benefit.
  3. 7.2. Rewards may include cosmetic items, digital unlocks, or other non-cash items. If we later run a permitted free prize promotion, we’ll disclose the prize type and significant conditions up front in accordance with the CAP Code (e.g.,eligibility, closing date, selection process).
  4. 7.3. Images are illustrative only; the actual item may differ in model/colour/spec.
  5. 7.4. Verification: We may require identity/age/location checks to confirm eligibility (GB and 18+) before issuing a reward/prize.
  6. 7.5. Delivery timelines are subject to availability and accurate address details (if a physical item). If delivery isn’t feasible, we may specify collection or a reasonable alternative.
  7. 7.6. If a winner declines/doesn’t respond/doesn’t verify in the required time, the reward may be forfeited and re-allocated.
  8. 7.7. Third-party terms (e.g., a brand’s product warranty) may apply to any physical reward;users should review those terms.
  9. 7.8. Rewards are provided “as is” to the extent permitted by law; nothing limits non-excludable consumer rights under the Consumer Rights Act 2015.
  10. 7.9. Any product issues should be raised with the manufacturer/issuer under their warranty/after-sales process.
  11. 7.10. If a reward is damaged on receipt, tell us on the same day for a replacement where available.
  12. 7.11. No requests for changes/upgrades(model/spec/colour) will be accepted unless we agree in writing.
  13. 7.12. Rewards are personal, non-transferable,not for sale, and no cash alternative is available unless stated.
  14. 7.13. In the event of a winner’s death,we will consider reasonable evidence from personal representatives before any discretionary transfer.
  15. 7.14. If any tax becomes due under UK law in a future prize promotion, the winner is responsible; we will comply with any reporting duty to HMRC.
  16. 7.15. Invoices or documentation (where relevant) may be issued in the winner’s name..
8. Platform Fee
  1. No Platform Fee applies for GB free-to-play use. If we introduce optional paid cosmetic features in future,any fees will be clearly disclosed in GBP and will not be a stake or entry fee. Fees are non-refundable once the cosmetic/consumable is delivered,subject to your statutory rights.
9. User Obligations
  1. 9.1. You must not post or share content that is unlawful, defamatory, obscene,discriminatory or otherwise prohibited by UK law, including the Communications Act 2003, Defamation Act 2013, Equality Act 2010, and CAP Code standards for user-generated content.
  2. 9.2. We are not responsible for user-submitted content; however, we may remove content that breaches these T&C or UK law.
  3. 9.3. You must not tamper with or misuse Platform data, content or IP.
  4. 9.4. Unfair means (bots, scripts,collusion, exploits) are prohibited; doing so may void scores/awards and lead to suspension.
  5. 9.5. Use the Platform in a personal, non-commercial capacity; don’t run businesses or resell benefits.
  6. 9.6. Don’t use the Platform for advertising or spam without written consent.
  7. 9.7. Don’t harass or inhibit other Users’ enjoyment of the Platform.
  8. 9.8. Don’t collect or scrape data about Users without their consent.
  9. 9.9. Always comply with applicable UK law.
  10. 9.10. Comply with these T&C, our Privacy Policy and any additional rules.
10. Consequences Of Breach Of T&C
  1. 10.1. You agree to indemnify the Provider for losses arising from your breach of these T&C or unlawful conduct.
  2. 10.2. We may remove infringing or harmful content.
  3. 10.3. We may void any reward gained through a breach.
  4. 10.4. We may suspend/terminate your User Account or disqualify you from features/leaderboards.
  5. 10.5. We may act upon lawful directions of UK authorities or a court.
11. User Data
  1. 11.1. “User Data” includes your name, likeness,profile photo, user ID, gameplay statistics (scores/history), any content you share (e.g., chat/support), and other data generated by your use of the Platform.
  2. 11.2. UK GDPR: We process User Data under lawful bases (e.g., contract performance, legitimate interests for safety/fraud prevention, consent where required, and compliance with law). We don’t “freely exploit” User Data for any purpose; uses are limited to those stated in our Privacy Policy (service delivery, safety, analytics, marketing with controls, and legal compliance).
  3. 11.3. Licence to display gameplay:You grant us a non-exclusive, worldwide licence to host, store, display and use your username/score/UGC for Platform features (leaderboards, tournaments,community spaces), and to publicise results where promotions require publication (as permitted by the CAP Code). You can revoke certain marketing uses via preferences, but operational uses (e.g., leaderboard display) are integral to the service.
  4. 11.4. We may share User Data with service providers (hosting, analytics, anti-abuse, content moderation, delivery if physical rewards are later offered), subject to contracts and data protection safeguards, including international transfer safeguards where relevant (e.g., UK IDTA/SCCs).
12. Provider Content
  1. 12.1. We own (or license) all IP in the Game(s)and Platform, including software/technology, text, graphics, art, audio-visual content and brand marks (“Provider Content”).
  1. 12.2. Your use does not grant IP rights in Provider Content.
  2. 12.3. You must not infringe our IP.
  3. 12.4. The User shall not:You must not modify, copy,distribute, reverse engineer, or create derivative works from Provider Content,except as permitted by law (e.g., limited copies for personal use or as allowed by the Platform features).
13. Privacy Policy
  1. 13.1. Our Privacy Policy explains what we collect, why, and how we protect it under UK GDPR and the Data Protection Act 2018.
  2. 13.2. By using the Platform, you agree to our processing in line with the Privacy Policy (with appropriate consent controls for optional marketing).
  3. 13.3. The Privacy Policy forms part of these T&C.
14. Amendment
  1. 14.1. These T&C supersede prior versions.
  2. 14.2. We may revise these T&C to reflect legal, safety or product changes. Your continued use after notice constitutes acceptance (without prejudice to mandatory UK consumer protections).
15. User Liability And Limitation Of Liability Of Provider
  1. 15.1. You use the Platform at your own risk, but nothing in these T&C excludes liability we can’t exclude under UK law(e.g., death/personal injury caused by negligence, fraud, or non-excludable consumer rights).
  2. 15.2. To the extent permitted by law, we are not liable for indirect or consequential losses (e.g., loss of profit, data, goodwill) arising from use of the Platform.
  3. 15.3.  You agree to indemnify us for losses arising from your breach, unlawful content, or misuse.
  4. 15.4. Our aggregate liability to you for foreseeable losses is limited to £100 or the amount you paid for any optional non-gambling purchases in the preceding 12 months (whichever is higher). This does not limit non-excludable rights under the Consumer Rights Act 2015.
16. Disclaimers And No Warranties
  1. 16.1. The Platform is provided “as is” and “as available” without warranties, to the extent permitted by law.
  1. 16.2. We don’t guarantee uninterrupted or error-free access, that defects will be corrected, universal compatibility, or that the Platform will be virus-free(reasonable security is applied).
  2. 16.3. We aren’t liable for outages or issues beyond our reasonable control (e.g., ISP failures, DDoS, app-store incidents).
  3. 16.4. Nothing here reduces your statutory rights under UK consumer law.
17. Customer Support
  1. 17.1. For support, contact support@indibid.inor use in-app support.
  2. 17.2. Provide sufficient detail for us to identify and contact you.
  3. 17.3. We aim to acknowledge within 48hours and to resolve within 15 working days, where feasible.
18. Grievance Redressal
  1. 18.1.You may raise any concern about Platform use (including data and conduct) to our support address above.
  2. 18.2. We handle complaints under UK consumer standards. Where a qualifying consumer dispute arises and remains unresolved, we will provide information about an ADR entity compliant with the Alternative Dispute Resolution for Consumer Disputes Regulations 2015; use of ADR is voluntary unless required by law.
  3. 18.3. We aim to respond within 48hours and resolve within 15 working days where feasible.
19. Governing Law And Jurisdiction
  1. 19.1. These T&C and any non-contractual obligations are governed by the laws of England and Wales.
  2. 19.2. The courts of England and Wales shall have exclusive jurisdiction, without prejudice to any non-waivable consumer forum rights.
20. Miscellaneous
  1. 20.1. If any provision is unlawful or unenforceable, it is severed and the rest remains effective.
  2. 20.2. These T&C govern our relationship with you; no third party gains rights except as permitted by the Contracts(Rights of Third Parties) Act 1999 if expressly stated.
  3. 20.3. We may assign our rights/obligations; we will notify you of any material changes affecting your rights.
  4. 20.4. No delay or failure to enforce is a waiver.
  5. 20.5. Any employees of the Provider are not eligible for any future prize promotions; they may use free-to-play features subject to internal policies.
  6. 20.6. You agree to any additional rules/policies we publish; if there’s a conflict, the most specific rules (e.g., promotion terms) prevail for that activity.
  7. 20.7. Third-party links/ads may appear;we don’t endorse third-party content or accept responsibility for it (you are subject to the third party’s terms/privacy).
  8. 20.8. You consent to receive service notices and news by in-app message/email; you can opt out of marketing at any time.
  9. 20.9. We may monitor account activity to protect users and the Platform; we cooperate with UK authorities where legally required.
  10. 20.10. Force Majeure: We aren’t liable for delay/failure caused by events beyond reasonable control (e.g., labour disputes, governmental action, war, civil unrest, fire, flood,power/telecom failures). We may suspend features until conditions normalise.
  11. 20.11. Your use remains subject to applicable UK laws and the CAP/ASA promotion rules where relevant.
